You have been recently employed by a US-based private equity company who is interested in the Indonesian market. The firm seeks to make significant investments in distressed or under-valued assets in Indonesia and has asked you to provide a market entry and political risk analysis of the nation. As a PE firm, your employer seeks to assume financial and/or operational control of its investment targets. The firm is not targeting any specific sector – it is simply evaluating Indonesia as an investment opportunity. They have hired staff to address the financial opportunities and legal risks of market engagement. They’ve hired you to supplement this research with an analysis of the political risk profile associated with investing in country. They are aware that you know little about their business, or the businesses in which they might invest, and – eventually – gain operational control.
Please prepare a business memorandum – between 3-5 pages in length – advising your client as to the political risks inherent in a significant, medium-term (>5 year) commitment to the Indonesian market. Keeping in mind that the firm is interested in eventually assuming operational control of assets, please organize your analysis along the following lines:
Indonesia’s political system (keeping in mind that the firm is sector-agnostic and interested in the broadest possible scope of investments);
The political and social/cultural constraints facing foreign investors in Indonesia;
The potential that corruption at both the national and local levels might frustrate investment efforts or expose the firm to negative legal and political consequences.
Best practices that the firm should observe with respect to organization structure, reporting and management and other relevant matters.
Your analysis should be informed by your knowledge of Indonesian political institutions and their interests; Indonesian political culture as it relates to foreign investors; Indonesian political culture; the potential that a series of successful Indonesian investments might yield business and political opportunities in third markets, with a particular focus on the rest of the ASEAN (Association of Southeast Asian Nations) political bloc; and, the bilateral relationship between Indonesia and the United States, given that your employer is a US-based fund.
Keep in mind – your employer is asking for political risk analysis. Focus on Indonesian institutions and their current and expected interests but support your analysis with an understanding of how the country’s history, culture and physical environment have influenced them. This is a purposefully open-ended assignment. You will have to do your own research to craft a reasoned and persuasive argument about the Indonesian investment environment. Your only guidance is that the firm is worried about the potential for corruption vis-a-vis their investment activities in country.
